Garden Leave: Meaning, Rules, and India Guide (2026)
Table of Contents
Consider a scenario in which a senior relationship manager at a top bank resigns and is about to join a competitor. Her notice period is 90 days. The question that you would face as an employer is “What is more important? Your business secrets? Or her staying at home with a 90-day salary?” This is where garden leave helps.
Garden leave is a clause in an employment contract that lets an employer require a departing employee to serve their notice period away from the workplace, on full pay. The individual would still be your employee, so contractual obligations remain valid.
TL;DR
- Garden leave is enforced by relevant clauses in their contract. They would continue to be your employee on full salary until the notice period. As they are still bound by the contract, they cannot reveal your confidential secrets during this time.
- A garden leave policy must be written in the contract, as no other law defines it in India.
- Remember, garden leave only applies during employment. Post-employment non-compete clauses are illegal in India under section 27 of the Indian Contract Act, 1872
- It is most common in BFSI, IT, consulting, and other sectors, particularly for senior roles where disclosing proprietary information or trade secrets can be damaging.
- The employee receives full salary, PF contributions, health benefits, and all other contractual entitlements throughout. Any deduction makes the clause null and void.
What is Garden Leave?
It is the period between resignation and the last working day, during which the employee stays at home, paid full salary, but does not perform any duties. Importantly, during this period, the contractual obligations still apply.
The name comes from British Civil Service practice, where officials asked to step back from active roles were paid to remain at home, the image being one of tending the garden rather than returning to the office. The term entered print in the Daily Telegraph in 1985 & reached wider attention through the BBC sitcom Yes, Prime Minister.
How does Garden Leave Work?
There are five steps that you need to know to understand how garden leave and relevant rules work.
- Notice Period Starts: This period begins on the date when an employee’s resignation has been accepted. The employer sends them an email or a letter that references the relevant clause.
- Structured Transition & Handover: They hand over relevant documentation and explain the responsibilities to a new colleague. After this, the employee doesn’t participate in team meetings or any other decisions.
- Access is Revoked: Access to email accounts, CRM, shared drives, and other digital spaces is removed, and office assets such as laptops are collected within 24 hours. Documenting this process helps keep a clear report.
- Statutory Payroll Maintenance: The employee remains on active payroll until the notice period expires and is entitled to other benefits such as PF and ESI. They can also accrue leave in accordance with your company’s leave policy.
- Salary Reduction as a Breach: Any reduction in salary during this period constitutes a breach of the employment contract and can be used to challenge the validity of the entire clause.
- Ongoing Contractual Obligations during Notice Period: The employment relationship remains active; the employee is bound by all contractual obligations, including confidentiality, non-solicitation, and restrictions on joining a competitor.
How Long does the Garden Leave Last?
Garden leave lasts for the duration of the notice period in the employment contract, or for the portion of it the employer chooses to invoke. It cannot extend beyond the notice period.
Typical durations based on seniority and different roles in India –
- Entry and junior-level roles: 30 days, though garden leave is rarely used at this level
- Mid-level managers: 60 to 90 days
- Senior leaders and client-facing heads: 90 days
- CXO-level appointments: up to 180 days in some contracts
Is Garden Leave Legal in India?
Yes. It is legal in India, but conditionally. The term “garden leave” is not mentioned in any law. So, it is regulated by the Indian Contract Act, 1872, and general principles along with the relevant contractual clauses. Some important judgements related to garden leave are –
- Niranjan Shankar Golikari v. Century Spinning and Mfg. Co. Ltd.: The Supreme Court of India established that negative covenants such as restricting an employee from competing with the employer or moonlighting are legally permissible, provided these restrictions apply exclusively during the active term of the employment contract.
- VFS Global Services v. Suprit Roy: The Bombay High Court ruled that non-compete clauses extending beyond the termination of employment are void. The Court determined that such post-employment restrictions violate Section 27 of the Indian Contract Act, 1872, which prohibits agreements in restraint of trade.
Is Garden Leave Pay Taxable in India?
Yes. Garden leave pay falls within the definition of salary under Section 17(1) of the Income Tax Act, 1961. The employment relationship is still active, so the salary paid during this period is treated identically to regular monthly salary. TDS applies in full, as per the standard schedule.
Garden Leave vs Notice Period vs Suspension vs Non-Compete
The confusion between these four terms is more than semantic. We have classified them to help avoid confusion.
| Criteria | Garden Leave | Notice Period | Suspension | Non-Compete |
|---|---|---|---|---|
| Is the employee working? | No | Yes (typically) | No | No (employment ended) |
| Is the employee paid? | Yes, full salary | Yes, full salary | Partially, subsistence allowance at 50% of wages for the first 90 days under IRC 2020 | No |
| Still employed? | Yes | Yes | Yes | No |
| Purpose | Protect clients, data, and IP during a high-risk exit | Ensure handover and transition of responsibilities | Contain risk during a pending misconduct inquiry | Prevent competitive activity after employment ends |
| When used | During the notice period, for senior or IP-sensitive roles | On resignation or termination, across most roles | When misconduct is alleged, and a domestic inquiry is pending | After exit, largely unenforceable in India under Section 27 of the ICA |
| Legal basis | Indian Contract Act, 1872, during-employment restriction | IRC 2020 Section 70, employment contract | IRC 2020 Section 38, Industrial Employment Standing Orders | Indian Contract Act, 1872, Section 27, void post-employment |
The suspension column carries the most practical risk if confused with garden leave.
Advantages and Disadvantages of Garden Leave
A garden leave policy is not a neutral administrative procedure. It is a deliberate trade-off, and the disadvantages carry enough weight that the decision to invoke it deserves the same analysis as the decision to structure the clause.
Advantages
- Removes Access to Sensitive Data: The notice period gives you time to cut off the employee’s access to your client base, CRM records, and other confidential systems.
- Acts as a Buffer:When the employee joins your competitor, their knowledge about how you operate becomes outdated.
- Helps Protect Your Client Base: It prevents departing employees from poaching accounts or clients.
- Workplace Stability: Some departing employees who are dissatisfied with management decisions may disrupt team morale before they leave. Garden leave limit that risk.
Disadvantages
- Full Salary for Zero Output: For a senior executive on a 90-day notice period at Rs. 5 lakh per month, garden leave costs Rs. 15 lakh in salary with no work returned.
- The Remaining Team Draws Its Own Conclusions: When a respected colleague is placed on garden leave from the day they resign, some employees may see it as abrupt rather than the standard administrative step it is.
- It is a Partial Measure on Its Own: Garden leave removes access and buys time. It does not prevent an employee from recalling what they already know. It works best when combined with a Non-Disclosure Agreement (NDA).
When Should an Employer Use Garden Leave?
An employer should use garden leave on a case-by-case basis. For example, if a senior R&D employee plans to work with another competitor, relying on garden leave rules becomes a must. Similarly, a senior manager in sales, marketing, or any other department plays an important role for your firm, and you should use garden leave to protect your interests. On the other hand, garden leave is rarely necessary for junior roles with limited access to sensitive information.
How to Implement Garden Leave
The garden leave rules for implementation follow a strict sequence. Every step depends on the one before it, and the first step must happen before any resignation does.
Step 1: Draft the Garden Leave Clause into the Contract before You Need It
- The clause must state that the company has the right, at its discretion, to require the employee to remain away from work during all or part of the notice period.
- Frame it as a right, not a mandatory obligation in every case. A clause that triggers automatically on every resignation is more vulnerable than one that preserves employer discretion.
- The clause must make clear that the employment relationship continues during the period, that full salary and benefits will be paid, and that all contractual obligations, including confidentiality, will remain in force.
- Pair it at signing with a non-disclosure agreement that survives the end of employment. Garden leave buys time, and the NDA protects what happens after that time runs out.
Step 2: Issue the Written Garden Leave Notice on the Day of Resignation
- The notice goes out when the resignation is accepted, not after the employer has taken time to consider options.
- It states the clause being invoked, the start date, the end date, and the specific restrictions applying during the period.
- A compressed handover window can be included in the notice, but it should be short, two to five days at most, and scoped to documentation only.
Step 3: Revoke all Access Immediately
- Email, internal systems, CRM, project tools, and physical access cards are deactivated on the day the notice is issued.
- Company assets are returned within 24 hours.
- Every step is documented. The record of when access was removed is the evidence that the garden leave operated correctly if the clause is challenged.
Step 4: Continue Full Garden Leave Pay without Interruption
- All contractual plus legal entitlements, including PF, complementary memberships, insurance, and other benefits, are still administered.
- As an employer, you need to remember that all outstanding dues under section 17(2) of COW, 2019 need to be cleared within two working days. This helps you in issuing the F&F settlement and relieving letter on time.
- Note that any attempt to reduce salary during the garden leave periods makes the garden leave clause null and void.
Sample Garden Leave Clause
The Company may, at its discretion, require the employee to remain away from work during all or part of the notice period. The employee will continue to receive full salary and benefits and must not join any competitor or contact clients during this time.
Note: This is illustrative language. Adapt it to your specific notice period length, role, and applicable employment terms. It is not certified legal advice.
